Overview

Mr. Allen’s practice focuses on wireless, Internet, broadband, technology, media and broadcast matters.  He provides strategic and legal guidance regarding Federal Communications Commission regulations, licensing and policy for matters such as spectrum acquisition, risk assessment, due diligence, regulatory compliance, litigation, and franchising.  He represents clients in financing matters, mergers, acquisitions, and other corporate transactions.  He appears before the Commission and in federal court with respect to administrative litigation matters.  Mr. Allen advises website operators regarding risk assessment and regulatory compliance matters, particularly for cutting-edge Internet services such as social networking sites and blogs.

Specific Experience
  • Represented broadcasters in Commission proceedings involving the digital television transition, distributed transmission systems, “white spaces” licensing and commercial FM station allotments, as well as in administrative adjudications and rulemaking matters.
  • Provided regulatory and strategic advice regarding Commission rules and policies affecting the broadcast industry, including matters involving the digital television transition, media ownership, digital tuner requirements, “must carry” regulations, children’s television, closed captioning, indecency, sponsor identification, and political broadcasting.
  • Advised clients regarding copyright issues related to video programming and webcasting.
  • Advised clients regarding Commission rules and policies applicable to wireless services, including ownership restrictions, 800 MHz rebanding, Broadcast Auxiliary Service relocation, Broadband Radio Service/Educational Broadband Service matters, market transitions, licensing, spectrum auction procedures and policy.
  • Negotiated and prepared asset purchase agreements, stock purchase agreements, spectrum leases, settlement agreements and rebanding agreements.
  • Advised website operators regarding risk assessment, liability and compliance issues involving social networking, blogs and user-provided content, including application of defamation, copyright and privacy laws.
